The Fezu Group

The Fezu group is a small, focused set of companies that separate holding, studio, and operating roles. This structure is intentional: it keeps intellectual property, equity ownership, and day-to-day platform operations clearly defined for partners, advisors, and regulators.

Why structure matters

Clear separation of responsibilities helps reduce risk and makes it easier for banks, payment providers, and other counterparties to understand how the business is organized. Each entity has a defined role, which simplifies documentation and governance.

Core entities

At the center of the group are three entities:

  • FezuZero – holding and strategic control
  • FezuOne – studio and IP owner
  • FezuInteractive Inc – U.S. corporate operator

Additional entities may be added in the future for specific jurisdictions or product lines, but the core philosophy remains the same: each company has a clear, limited mandate.

Group structure overview

At a high level, the Fezu group can be viewed as a simple vertical stack: a holding company at the top, a studio responsible for intellectual property in the middle, and operating entities that run specific platforms and integrations.

FezuZero (holding)

FezuZero is the primary holding company for the group. It is responsible for equity ownership, long-term strategy, and capital allocation across projects and entities.

FezuZero does not operate platforms or hold user-facing accounts. Its role is corporate governance and ownership.

FezuOne (studio)

FezuOne is the in-house studio and development company. It creates and maintains the intellectual property for game engines, platforms, artwork, and interactive experiences.

FezuOne owns the IP and licenses it to operating entities under documented intra-group agreements.

FezuInteractive Inc (U.S. corporate operator)

FezuInteractive Inc is the U.S. corporate operating company, organized as a Wyoming C-Corporation. It is responsible for running entertainment-only virtual goods platforms and handling platform integrations and operational processes in the United States.

FezuInteractive Inc operates under license from FezuOne and does not own the underlying IP.

Roles & responsibilities

Each entity in the Fezu group is designed with a focused scope. This reduces overlap and makes it easier to document who is responsible for what when working with external partners.

Holding & strategy (FezuZero)

FezuZero holds ownership stakes in the operating and studio companies, sets long-term direction, and coordinates major initiatives. It may also handle fundraising, investment decisions, and high-level corporate governance.

By keeping this separate from operational entities, it becomes easier to discuss risk and capital structure with advisors and counterparties.

Creation & IP (FezuOne)

FezuOne is where technology and creative work live. It employs or contracts with engineers, artists, and designers to build proprietary engines, game content, and platform features.

Once created, this IP is licensed to operating entities via documented agreements that specify scope, territory, and usage rights.

Operations & integrations (FezuInteractive)

FezuInteractive Inc focuses on the operational side: deployment, monitoring, integrations with payment providers and other vendors, and applying internal policies and controls to U.S.-facing platforms.

This makes it straightforward for banks and processors to evaluate the entity that actually runs the platform and handles day-to-day operations.

Future entities

If additional entities are formed in other jurisdictions (for example, for regional operations or specific regulatory regimes), they are expected to follow the same principles: clear scope, transparent licensing, and well-documented relationships with the rest of the group.

How Fortunes Veil fits in

Fortunes Veil is a virtual entertainment platform developed within the Fezu ecosystem. It provides a concrete example of how the group’s structure and responsibilities align in practice.

The technology, game logic, artwork, and visual identity for Fortunes Veil are created and maintained by FezuOne as part of its role as the studio and IP owner.

Operated by FezuInteractive Inc

Operation of the platform, including deployments, monitoring, and integrations, is handled by FezuInteractive Inc under an IP license from FezuOne and guidance from FezuZero at the group level.

At the highest level, Fortunes Veil is part of the Fezu ecosystem, with FezuZero overseeing the long-term strategy while FezuOne and FezuInteractive execute on technology and operations respectively.

The Fezu group is built around a hands-on engineering culture. Our core product and platform work is led by our in-house studio team based in Medellín, Colombia, with additional collaborators supporting specific initiatives as needed.

Our engineering team in Medellín designs, builds, and maintains the core technology behind Fortunes Veil and related platforms. Working closely with FezuOne, they bring together backend systems, game logic, and operational tooling in a single, coherent stack.
